Service Agreement

Welcome to Sheer Safe Private Limited (“Sheer Safe”, “we”, “us”, or “our”). By accessing or using our services, you agree to comply with and be bound by the following terms and conditions (the “Agreement” or “Terms of Service”). Please read these terms carefully before using our services.
1. Introduction
Sheer Safe Private Limited, based in Bangalore, India, provides comprehensive cyber security services including Managed Security Services, Professional Services, and Cyber Resiliency Services to companies worldwide. Our services are designed to manage and enhance our clients' cyber security and cyber resilience.
2. Definitions
Client: Any individual or entity that purchases or uses our services.
Services: Sheer Safe provides Managed Security Services, Professional Services, and Cyber Resiliency Services.
Agreement: These Terms of Service.
3. Acceptance of Terms
By using our services, the Client agrees to comply with all terms and conditions set forth in this Agreement. Clients should not use our services if they do not agree to these terms.
4. Services Provided
4.1 Managed Security Services
Our Managed Security Services include continuous monitoring, threat detection, and incident response to protect the Client’s digital assets from cyber threats.
4.2 Professional Services
Our Professional Services encompass security assessments, compliance consultations, and security architecture design to enhance the Client’s security posture.
4.3 Cyber Resiliency Services
Our Cyber Resiliency Services are designed to help the Client recover from cyber incidents swiftly and effectively, ensuring minimal disruption to their operations.
5. Use of Services
5.1 Eligibility
The Client must be at least 18 years old to use our services.
5.2 Client Responsibilities
The Client is responsible for providing accurate information and cooperating with Sheer Safe to facilitate the delivery of services. The Client must ensure that their use of the services complies with all applicable laws and regulations.
6. Payment Terms
6.1 Fees
The Client agrees to pay the fees for the services as specified in the relevant service agreement or invoice. All fees are non-refundable unless otherwise stated.
6.2 Invoicing and Payment
Invoices are issued as per the terms agreed in the service agreement. Payment is due within 30 days of the invoice date.
6.3 Late Payments
Late payments may incur interest at a rate of 1% per month, calculated from the due date until the payment is received.
7. Confidentiality and Data Protection
7.1 Confidential Information
Both parties agree to maintain the confidentiality of all information disclosed during the provision of services. This obligation shall continue beyond the termination of this Agreement.
7.2 Data Protection
Sheer Safe shall implement appropriate technical and organizational measures to protect the Client’s data against unauthorized access, loss, or destruction. The Client consents to the collection, use, and processing of their data as necessary for the performance of the services.
8. Intellectual Property
All intellectual property rights related to the services provided by Sheer Safe remain the property of Sheer Safe. The Client is granted a non-exclusive, non-transferable license to use the services for their internal purposes only.
9. Limitation of Liability
To the fullest extent permitted by law, Sheer Safe shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. Our total liability shall not exceed the fees paid by the Client for the services in the six months preceding the event giving rise to the claim.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless Sheer Safe, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from the Client’s use of the services or violation of this Agreement.
11. Termination
11.1 Termination by Sheer Safe
Sheer Safe reserves the right to terminate this Agreement or suspend services if the Client breaches any terms of this Agreement or fails to make timely payments.
11.2 Termination by Client
The Client may terminate this Agreement by providing [insert notice period, e.g., 30 days] written notice to Sheer Safe. Upon termination, the Client remains liable for all fees and charges incurred up to the date of termination.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bangalore, India.
13. Amendments
Sheer Safe reserves the right to modify these terms at any time. Any changes will be effective immediately upon posting on our website. The Client’s continued use of our services constitutes acceptance of the revised terms.
